Can foreigners own 100% of a company in China?
Yes. In 99% of sectors, foreign individuals and companies can own 100% of a Wholly Foreign-Owned Enterprise (WFOE). Only a small number of restricted sectors (aviation, telecom, etc.) require a Chinese partner via a Joint Venture.
How long does company registration take?
In Yiwu, the core registration (business license) can be completed in as fast as 1 working day. The full process including bank account and tax registration typically takes 2-4 weeks.
Do I need to be physically present in China?
For company registration, the legal representative must visit China for bank account opening and identity verification. For visa applications, you must visit a Chinese embassy/consulate in your home country to submit biometrics for the Z visa.
What documents do I need?
As an individual shareholder outside China: apostilled passport copy, translated into Chinese. As a corporate shareholder: apostilled certificate of incorporation and articles of association. For work visa: bachelor's degree, non-criminal record, 2+ years work experience proof, and a physical office lease.
How much registered capital is required?
No minimum registered capital is required by law. However, under the 2024 Company Law, declared registered capital must be paid in within 5 years. We recommend RMB 100,000-500,000 for service/trading WFOEs — enough to cover 1-2 years of operating expenses.
